Terms and Conditions

Karpa® is a brand belonging to the company Albino Miranda, Ltd. By ordering products or services from Albino Miranda, Ltd., each customer agrees to the following Terms and Conditions:

TERMINOLOGY AND APPLICABILITY:
- Albino Miranda, Ltd. is a legal person registered in Portugal under Portuguese Law, hereinafter referred to as "Albino Miranda";
- Any product, design, sample, project, sketch or any other service conceived, created or produced by Karpa® / Albino Miranda is hereinafter referred to as the Product;
- Albino Miranda owns the trademarks "Karpa®" and "GANSK®" and is authorized to sell its Products worldwide;
- Any legal person or registered company that enters into a legal transaction is hereinafter referred to as the Client;
- The Order shall be understood as a legal transaction relating to the purchase of the Product by the Customer;
- The Employee shall be understood as an Albino Miranda employee, with an official email address @albinomiranda.pt, @karpa.pt or @gansk.pt. The Client enters into a legal transaction with Albino Miranda through the Employee;
- These Terms and Conditions apply to all Albino Miranda transactions, including but not limited to the following activities: Furniture Sales, Design Services, Furniture Assembly and Installation;
- Purchase Date means the date of receipt of a prepayment by Albino Miranda;
- Albino Miranda reserves the right not to enter into a legal transaction with a Customer at its discretion;
- Albino Miranda reserves the right to modify these Terms and Conditions at any time without prior notice. By entering into a legal transaction with Albino Miranda, the Customer accepts the Terms and Conditions in force on the Date of Purchase;
- The Terms and Conditions are published and updated on the official Karpa® website (www.karpa.pt) and can also be requested from an Employee in PDF format;

ORDERS:
- Account opening and payment:
- All accounts will only be registered after the first proforma has been issued. The Customer is obliged to provide valid information about the company, including but not limited to: Billing name, billing address and VAT number;
- All Orders require a prepayment of 40% of the total order to start production, with the remaining 60% due upon completion and prior to shipment;
- All customized or large quantity orders require a 50% prepayment on the entire order to start production, with the remaining 50% after completion and before shipment;
- Price List:
- Karpa® quotes are valid for 30 days. Karpa® reserves the right to update any value of orders placed after this period, if it sees fit, and the Customer may or may not proceed with the order;
- Karpa® prices are unit prices, are in EUROS and are ExWorks - Barcelos (Portugal);
- Karpa® prices do not include VAT or taxes;
- Prices in the Karpa® Price List are for the public and replace any others previously published or announced;
- Karpa® prices do not include shipping, transportation or assembly costs;
- Karpa® prices include the conventional packaging of each piece with plastic film and cardboard;
- If packaging in a wooden box or other material is necessary for transportation or required by the Customer, its cost will be accounted for proportionally;
- Products and Services:
- The purchase of furniture from Karpa® is not subject to minimum quantities;
- All Products are the property of Karpa® / Albino Miranda until payment is received in full;
- Karpa® reserves the right not to produce a particular Product at its discretion;
- Raw materials of natural origin, such as wood, marble, leather, etc. are subject to stock availability and may differ substantially from the reference image/photograph. Karpa® will make every effort to match the reference images/materials, however, given the unique characteristics intrinsic to the very nature of these materials, this is not guaranteed;
- Certain Karpa® finishes are achieved by manual and artistic processes, often combining different colors and textures. Karpa® will make every effort to match the reference images, however, given the unique characteristics intrinsic to these processes, this is not guaranteed;
- Materials/components supplied by the customer (C.O.M.) are the customer's responsibility and Karpa® is not liable for the quality or delays they may cause;
- Materials/components supplied by the customer (C.O.M.) must be duly identified and the Employee responsible for the Order duly informed to receive them. Any failure on any of these points resulting in the loss or misplacement of the material is the responsibility of the Customer;
- Production and Deadlines:
- The minimum production time is 40 working days from the date of purchase. The Customer should only consider this timeframe as an estimate and should evaluate their Order specifically with the Employee responsible for it;
- Orders with large quantities and/or Decoration Projects must always have their deadlines analyzed and the Customer must be duly informed of them before they are awarded;
- Karpa® reserves the right to extend the delivery time of an Order if reasons outside its production are affecting it (e.g. delay in the dispatch of a component by the Customer, etc.);
- Shipments:
- The Product shall only be shipped when it has been fully settled by the Customer;
- Karpa® reserves the right to postpone shipment of the Product until payment has been fully settled;
- The Customer has the right to request photographs of the Product ordered before it is dispatched;
- The transportation and/or assembly service of the Product is the Customer's choice and may or may not be requested to Karpa®. Transportation on the Customer's own account or by companies contracted by the Customer will be the Customer's sole responsibility;
- Account opening and payment:

WARRANTY AND DAMAGE CLAIMS:
- Karpa® is liable for defects in the Product in accordance with the applicable legal provisions. The up-to-date Warranty Terms can be consulted on the official Karpa® website (www.karpa.pt) and can also be requested from an Employee in PDF format;
- The Order is the property of the Customer from the moment it leaves Albino Miranda's premises by the carrier, and Karpa® is not liable for any damage during shipment;
- Any visible damage to the packaging (wooden box or other) must be reported immediately to the carrier with the intention of making a written complaint. Written proof of the claim and photographic proof of the damaged packaging must be communicated by email to Karpa® within 48 hours of delivery, to

- Any visible damage to the ordered Product after it has been carefully unpacked and assembled must be reported to Karpa® within 5 working days to

You need JavaScript enabled to view it. or to the Employee responsible for the Order, including photographic proof; - Karpa® reserves the right to refuse the Damage Claim if it has been sent after 5 working days of receipt/assembly by the Customer;
- The order must be carefully unpacked and its packaging must remain intact for 15 working days after receipt. If any problems occur during this period, the Product must be carefully packed by the Customer and sent to Albino Miranda's premises for inspection, at the Customer's expense;
- The Customer is responsible for packing the Products properly and ensuring their delivery in the best condition if their original packaging has been discarded or damaged during this period;

RETURNS AND CANCELLATIONS:
- Products may be returned for Warranty purposes either directly by the customer to Albino Miranda's premises or, alternatively, a collection may be arranged by the same shipping method used for the Order. In this case, the customer must pay a deposit equal to the cost of transportation, which will be refunded in the event of a defect covered by the Warranty. The updated Warranty Terms can be consulted on the official Karpa® website (www.karpa.pt) and can also be requested from an employee in PDF format;
- No returns will be accepted without the written consent of Karpa®. Unauthorized returns will be refused at the Customer's expense;
- Cancellations after the Purchase Date will only be accepted if production has not yet begun. If this is not the case, the Customer will be responsible for the costs incurred;
- Karpa® does not accept the return of any personalized Products, unless there is a production fault due to excess quantity or an error in the materials/finishes applied. For any defect or non-conformity in the Product received, the Guarantee must be requested and activated, if, after verification of the Terms, it is deemed acceptable by Karpa®;

SALES, EXCLUSIVITY AND LIABILITY POLICIES:
- Karpa® reserves the right not to sell or continue to sell to any Customer whose sales policies have a negative impact on its reputation and on competing or selling to a region or city;
- Karpa® shall not be liable for any lost profits or savings, loss of reputation or indirect/incidental or consequential damages arising out of or in connection with the sale of its Products or Services to Customers;
- All Karpa® Products are labeled. Karpa® reserves the right not to sell to any Customer who does not want its logo on the Products;
- No Karpa® Product may be sold with the application of any other brand or under any other name;
- Proposals for the sale of Karpa® Products on an exclusive basis may be sent for analysis to

- Karpa® reserves the right to sell to any furniture professional, as long as there are no exclusive ongoing contracts on that market;

CHANGES AND UPDATES:
- Karpa® reserves the right to alter and/or amend its Terms and Conditions, whether due to new laws/regulations or for any other reason. The Terms and Conditions are published and updated on the official Karpa® website (www.karpa.pt), and can also be requested from an Employee in PDF format, and will apply to orders submitted after the date shown;
